ACCEPTANCE OF TERMS
By accessing or using the Elura platform, website, mobile application, and all related services (collectively, "Services"), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and all other policies and guidelines referenced herein. These Terms constitute a binding legal agreement between you and Elura, LLC, an Alaska limited liability company ("Elura," "we," "us," or "our").
Important: If you do not agree to these Terms, you may not access or use our Services. By continuing to use our Services after any modifications to these Terms, you agree to be bound by the updated version.
NATURE OF SERVICES AND NON-MEDICAL DISCLAIMER
Services Description
Elura provides non-prescriptive educational content, guidance, and tools related to midlife hormone health, including:
- The Elura Vitality Assessment™ (EVA), a self-assessment tool that maps symptoms to educational categories
- Masterclasses and recorded educational courses about hormonal health, lifestyle, and wellness
- Written educational materials, articles, and resources
- Personalized educational recommendations based on assessment responses
- Community and peer support features
All Services are educational in nature only and do not constitute medical advice, diagnosis, treatment, or prescription.
No Medical Advice or Treatment
You acknowledge and agree that:
- The Services do not constitute medical advice, medical diagnosis, or medical treatment under any circumstances.
- The Services are not a substitute for professional medical advice, diagnosis, or treatment from a licensed healthcare provider.
- No information provided through the Services should be interpreted as professional medical or psychological advice.
- The Services do not establish a doctor-patient relationship, patient-physician relationship, or any other healthcare provider-patient relationship between you and Dr. Richard Perrin, Elura, or any other person associated with Elura.
- Even though Dr. Richard Perrin (MD, board-certified neurosurgeon) founded Elura, he is not providing medical services through this platform and does not serve as your personal healthcare provider.
Educational Purpose Only
The educational content and guidance provided through Elura is meant to:
- Help you understand potential patterns in your health and symptoms
- Provide context about midlife hormonal physiology
- Support informed conversations with your healthcare provider
- Offer evidence-based lifestyle options that many people find beneficial
- Encourage you to seek professional medical evaluation
The Services are not designed to:
- Diagnose medical conditions
- Treat, cure, mitigate, or prevent disease
- Provide personalized medical recommendations
- Replace evaluation by a licensed healthcare provider
- Serve as a telehealth, telemedicine, or remote medical consultation service
EVA Assessment Disclaimer
The Elura Vitality Assessment (EVA) is a self-assessment questionnaire that categorizes symptom patterns for educational purposes only. EVA results:
- Do not constitute a medical diagnosis
- Do not establish what medical conditions you may or may not have
- Should not be used to self-diagnose medical conditions
- May help you recognize patterns to discuss with your healthcare provider
- Are intended to facilitate conversation with a licensed healthcare provider, not replace evaluation by one
ELIGIBILITY AND USER REQUIREMENTS
Age Requirements
You must be at least 18 years of age to use the Services. By accessing the Services, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding agreement.
Legal Capacity
You represent and warrant that:
- You have the legal capacity to enter into this agreement
- You are not under any legal incapacity or guardianship
- If you have been adjudicated as lacking legal capacity, you may not use the Services without the express written consent of your legal guardian
- You will use the Services in compliance with all applicable laws
Restricted Use
You may not use the Services if:
- You are located in a jurisdiction where the Services are prohibited
- You are prohibited by law from accessing health-related content or services
- You have been previously prohibited from using the Services by Elura
YOUR RESPONSIBILITIES AND PROHIBITED CONDUCT
Personal Use License
Subject to your compliance with these Terms, Elura grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your personal, non-commercial educational purposes.
Intellectual Property Protection
You agree that:
- All content, materials, and intellectual property on the Services, including text, graphics, logos, images, audio, video, and software (collectively, "Content"), are the property of Elura or its licensors and are protected by copyright, trademark, and other intellectual property laws.
- You may not copy, modify, distribute, sell, lease, or transmit any Content without express written permission from Elura, except as specifically permitted in these Terms.
- You may download and print Content solely for your personal, non-commercial use.
- Any unauthorized use of the Content may violate copyright, trademark, and other laws.
Prohibited Conduct
You agree not to:
- Use the Services for any illegal purpose or in violation of any applicable laws
- Copy, distribute, or transmit any Content without authorization
- Attempt to reverse engineer, decompile, or discover the source code or underlying technology
- Remove, obscure, or alter any copyright, trademark, or other proprietary notices
- Use automated means (bots, scrapers, crawlers) to access or collect data from the Services
- Upload or transmit viruses, malware, or any code of destructive nature
- Engage in any form of harassment, abuse, or hateful conduct toward other users
- Post or share false, misleading, or defamatory information
- Attempt to gain unauthorized access to the Services or other users' accounts
- Resell or redistribute access to the Services
- Impersonate any person or entity
- Use the Services in any manner that could damage, overload, or impair the Services
- Share your login credentials with others or allow others to access your account
- Access the Services from a jurisdiction where they are restricted or prohibited
- Use the Services to provide medical advice to others
User-Generated Content
If you submit, post, or share any content on the Services (including comments, reviews, or forum posts), you grant Elura a worldwide, royalty-free, non-exclusive license to use, reproduce, modify, and distribute that content in connection with the Services. You represent and warrant that:
- You own or have the right to share the content
- The content does not infringe any third-party intellectual property rights
- The content does not violate these Terms or any applicable laws
- You have obtained any necessary permissions or consents
YOUR ACCOUNT AND CONFIDENTIALITY
Account Creation
To access certain features of the Services, you may need to create an account. You agree to:
- Provide accurate, complete, and current information during registration
- Update your account information to keep it accurate and current
- Maintain the confidentiality of your account login credentials
- Accept full responsibility for all activities and conduct under your account
- Notify Elura immediately of any unauthorized access or breach of your account
Your Responsibility for Account Security
You are solely responsible for:
- Maintaining the confidentiality of your password and account credentials
- All activities that occur under your account, whether authorized by you or not
- Notifying Elura immediately of any unauthorized access or use of your account
Elura is not liable for any loss or damage resulting from your failure to protect your account credentials or for your failure to notify us of unauthorized access.
PAYMENT, FEES, AND REFUNDS
Fees and Payment
By purchasing any paid product or service through Elura, you agree to pay the stated price plus any applicable taxes. Payment is processed through our third-party payment processor (Stripe). By providing payment information, you authorize Elura and our payment processor to charge your account.
Pricing and Changes
Elura reserves the right to change pricing at any time. Price changes will be reflected on the Services prior to purchase. Your continued use of the Services after a price change constitutes acceptance of the new pricing.
Refund Policy
Non-Refundable Services: All purchases are generally non-refundable except as provided in this section.
Refund Eligibility:
- Within 7 Days of Purchase: If you purchase a course or program and request a refund within 7 calendar days of purchase, Elura will refund the full purchase price, minus any non-refundable fees or taxes.
- After 7 Days: No refunds are available for purchases made more than 7 days prior to the refund request, except at Elura's sole discretion.
- State Law Exceptions: Notwithstanding the above, if applicable law in your state provides for a longer refund period or additional refund rights, those rights supersede this policy.
Refund Requests: To request a refund, email info@elura.co with your order number, email address, and reason for refund within the eligible refund window.
Recurring Subscriptions
Auto-Renewal: If you purchase a subscription to recurring Services, you authorize Elura to automatically charge your payment method on the renewal date unless you cancel your subscription.
Cancellation: You may cancel a subscription at any time by logging into your account and following the cancellation instructions, or by emailing info@elura.co. Cancellation is effective at the end of your current billing cycle. No refunds are provided for partial billing periods unless required by law.
Renewal Notification: Prior to any auto-renewal, Elura will provide notice of the renewal and the amount to be charged. You must affirmatively consent to the renewal terms.
Taxes
You are responsible for paying all applicable taxes related to your purchase. Elura will collect and remit sales tax where required by law.
THIRD-PARTY LINKS AND EXTERNAL SERVICES
Third-Party Links
The Services may contain links to third-party websites, applications, and resources. Elura does not endorse, control, or assume responsibility for the content, accuracy, legality, or practices of any third-party website or service.
Your Use of Third-Party Services
Your use of any third-party website or service is governed by that third party's terms of service and privacy policy, not by these Terms. You are solely responsible for reviewing and understanding those terms before use.
No Liability for Third-Party Content
Elura is not liable for any loss, damage, or harm arising from:
- Your access or use of third-party websites or services
- Inaccuracy, delay, or interruption of third-party content
- Removal or unavailability of third-party content
- Breach by any third party of their terms of service or privacy policy
WARRANTIES DISCLAIMER
As-Is Services
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
Elura specifically disclaims all implied warranties, including:
- Warranty of merchantability
- Warranty of fitness for a particular purpose
- Warranty of non-infringement
- Warranty of title
- Warranty of accuracy or completeness of information
- Warranty that the Services will be uninterrupted, error-free, or secure
No Guarantee of Results
Elura does not guarantee or warrant that:
- The Services will produce any particular health, wellness, or lifestyle outcome
- Educational materials are current, accurate, or applicable to your situation
- The Services will be free from viruses, malware, or other harmful code
- The Services will be compatible with all devices or browsers
- Any defects in the Services will be corrected
- Information provided is medically accurate for your individual circumstances
Individual Results Vary
Results from using educational content, assessments, or recommendations vary greatly based on individual factors including genetics, lifestyle, existing health conditions, medication use, and adherence to recommendations. No particular outcome is guaranteed.
LIMITATION OF LIABILITY
Limit of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ELURA, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR:
- Any indirect, incidental, special, consequential, or punitive damages, including but not limited to damages for lost profits, lost revenue, lost data, or loss of use
- Any damages arising from or related to your health, medical condition, or health-related decisions, including but not limited to adverse health outcomes
- Any damages arising from your use of or reliance on the Services, Content, or any information provided through the Services
- Any damages arising from errors, omissions, interruptions, or inaccuracies in the Services or Content
- Any damages arising from viruses, malware, or other harmful code
- Any damages arising from your failure to follow instructions or warnings
- Any third-party claims, even if Elura has been notified of the possibility of such damages
Cap on Liability
EXCEPT AS PROVIDED BELOW, ELURA'S TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID FOR THE SERVICES IN THE 12 MONTHS PRIOR TO THE CLAIM, OR (B) $100.
This limitation applies to all causes of action, including breach of contract, tort, negligence, and strict liability.
Exceptions to Limitations
The limitations in Sections 9.1 and 9.2 shall not apply to:
- Elura's gross negligence or willful misconduct
- Elura's violation of applicable law that cannot be limited by law
- Either party's indemnification obligations
- Liabilities that cannot be limited by applicable law
- Personal injury or death caused by Elura's negligence (in jurisdictions where this cannot be disclaimed)
INDEMNIFICATION
User Indemnification
You agree to indemnify, defend, and hold harmless Elura, its affiliates, and their respective officers, directors, employees, agents, and licensors from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees and court costs) arising from or related to:
- Your use of the Services
- Your violation of these Terms
- Your violation of any applicable law or third-party rights
- Your User-Generated Content or statements
- Your account or actions taken under your account
- Your reliance on or use of any information provided through the Services
- Any health-related consequences resulting from your use of the Services or implementation of any recommendations
Exception
You have no indemnification obligation for claims arising solely from Elura's gross negligence, willful misconduct, or violation of law.
MEDICAL EMERGENCIES
Emergency Protocol
If you experience a medical emergency, immediately call 911 (or your local emergency number) and seek immediate medical attention. Do not rely on the Services for emergency medical guidance.
If you experience suicidal ideation, self-harm urges, or psychological crisis, immediately:
- Contact the National Suicide Prevention Lifeline: 988 (available 24/7)
- Text "HELLO" to 741741 (Crisis Text Line)
- Call 911 or go to your nearest emergency room
- Contact a mental health crisis service in your area
The Services are not equipped to handle mental health emergencies and cannot provide crisis intervention.
PRIVACY AND DATA PROTECTION
Your use of the Services is subject to our Privacy Policy, which is incorporated into these Terms by reference. Please review the Privacy Policy carefully, as it describes our practices regarding the collection, use, and protection of your personal information, including health-related data.
COOKIES AND TRACKING TECHNOLOGIES
Your use of the Services is subject to our cookie policy, which is detailed in our Privacy Policy. By continuing to use the Services, you consent to our use of cookies and similar tracking technologies as described in the Privacy Policy.
Right to Opt Out: You may adjust your browser settings to refuse cookies or opt out of non-essential tracking, though this may limit the functionality of the Services.
DISPUTE RESOLUTION AND ARBITRATION
Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Alaska, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods shall not apply.
Mandatory Arbitration
Except as provided below, you and Elura agree to resolve any dispute, claim, or controversy arising out of or relating to these Terms, the Privacy Policy, or the Services (collectively, "Disputes") exclusively through final and binding arbitration, rather than in court.
14.2.1 Scope of Arbitration
This arbitration agreement applies to all Disputes, including but not limited to:
- Claims for breach of contract, tort, negligence, strict liability, or any other legal theory
- Claims arising before these Terms existed
- Claims arising after the termination of these Terms
- Health-related claims and injuries allegedly arising from the Services
- Claims arising from your use of the Services
14.2.2 Exceptions to Arbitration
Notwithstanding the above, the following shall not be subject to arbitration:
- Small claims that fall within the jurisdiction of small claims court (if the claim is filed in small claims court and remains there)
- Claims for infringement of intellectual property rights
- Claims seeking injunctive relief to prevent irreparable harm
- Any claim that, by law, cannot be arbitrated
14.2.3 Arbitration Procedure
- Initiating Arbitration: To initiate arbitration, provide Elura with written notice of your intent to arbitrate, including a detailed description of the Dispute, your contact information, and the relief sought. Send this notice to: info@elura.co.
- Arbitrator Selection: The arbitration shall be administered by JAMS (Judicial Arbitration and Mediation Services) under its Streamlined Arbitration Rules & Procedures or, if JAMS is unavailable, by AAA (American Arbitration Association) under its Consumer Arbitration Rules.
- Costs: Elura will pay all JAMS or AAA filing fees and arbitrator fees for any claim that does not exceed $75,000. For claims exceeding $75,000, costs shall be split as determined by the arbitrator. You remain responsible for your attorneys' fees and expert witness fees.
- Location: The arbitration shall take place in Anchorage, Alaska, or via videoconference if the arbitrator permits.
- Relief: The arbitrator may award any relief that would be available in court under applicable law, but may not award punitive damages unless required by law.
- Appeal: You have the right to appeal an arbitrator's decision in accordance with JAMS/AAA rules.
Class Action Waiver
You and Elura agree that arbitration shall be conducted on an individual basis only. You waive your right to participate in any class action, class arbitration, or representative action against Elura. This includes:
- Class action lawsuits
- Class arbitrations
- Consolidated or representative actions
- Private attorney general actions
- Any proceeding where someone other than you seeks to represent your interests
If the class action waiver is found unenforceable, the entire arbitration agreement shall be void, and all Disputes shall be resolved in court as provided in Section 14.4.
Jury Trial Waiver
Both you and Elura waive your right to a jury trial. If arbitration is unavailable or the arbitration agreement is unenforceable, any court proceeding shall be decided by a judge, not a jury.
30-Day Right to Opt Out
You may opt out of the mandatory arbitration agreement by providing written notice to Elura within 30 days of first accepting these Terms. Your notice must include:
- Your name and email address
- The statement: "I opt out of the mandatory arbitration agreement"
- Your signature
Send your opt-out notice to: info@elura.co, with the subject line "Arbitration Opt-Out."
Once received, you and Elura may pursue Disputes in court.
Equitable Relief
You acknowledge that breach of these Terms may cause irreparable harm for which monetary damages are inadequate. Accordingly, Elura shall be entitled to seek equitable relief, including injunction and specific performance, in addition to all other remedies available at law or in equity.
MODIFICATIONS TO TERMS
Right to Modify
Elura may modify these Terms at any time. The date of last update will appear at the top of this page. Modifications become effective immediately upon posting unless we specify otherwise.
Acceptance of Modifications
Your continued use of the Services after any modification constitutes your acceptance of the modified Terms. If you do not accept the modifications, you must discontinue use of the Services.
Substantial Changes
For material or substantial changes, Elura will provide notice via email to the email address associated with your account, if applicable. If you do not agree with the changes, you must discontinue use within the notice period.
TERMINATION
Termination by You
You may terminate your use of the Services at any time by discontinuing access. For paid subscriptions, you must formally cancel through your account settings or by contacting info@elura.co.
Termination by Elura
Elura may terminate or suspend your account and access to the Services at any time, with or without cause, and with or without notice. Grounds for termination include:
- Violation of these Terms
- Violation of applicable law
- Harmful, threatening, or abusive conduct
- Non-payment of fees
- Interference with the Services or other users
- Any reason at Elura's sole discretion
Effect of Termination
Upon termination:
- Your right to use the Services immediately ceases
- You must delete any downloaded Content
- Sections that by their nature should survive termination (Limitation of Liability, Indemnification, Dispute Resolution, etc.) shall remain in effect
- Termination does not relieve you of payment obligations for fees incurred prior to termination
- You retain the right to access your account data, subject to the Privacy Policy, for a limited period
ADDITIONAL COMPLIANCE PROVISIONS
Regulatory Compliance
Elura is committed to compliance with all applicable laws and regulations related to health information, consumer protection, and data privacy. If you believe the Services violate applicable law, please contact us at info@elura.co.
State Law Rights
Nothing in these Terms limits any rights you may have under applicable state law that cannot be waived. If any provision of these Terms is found unenforceable under state law, that provision shall be modified to the minimum extent necessary to make it enforceable, or if that is not possible, it shall be severed.
Alaska Consumer Protection
As a consumer in Alaska, you may have additional rights under Alaska Statute ยง 45.02 (Unfair Trade Practices Act) and other consumer protection laws. These Terms do not limit those rights.
ENTIRE AGREEMENT
These Terms, together with the Privacy Policy, Medical Disclaimer, and any other policies referenced herein, constitute the entire agreement between you and Elura regarding the Services. They supersede all prior agreements and understandings. No course of dealing or usage of trade shall modify these Terms.
SEVERABILITY
If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if that is not possible, it shall be severed from these Terms. The remaining provisions shall remain in full force and effect.
